1 Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ACE — Accessibility Compliance Engine (the "Service"), operated by Think! Design & Planning, LLC ("Company," "we," "us," or "our"), located in Greensboro, North Carolina.

By creating an account, purchasing credits, or using the Service in any manner, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2 Service Description

ACE is an AI-powered document accessibility platform that scans PDF files and HTML content for compliance with accessibility standards including WCAG 2.1 AA, Section 508, and PDF/UA. The Service provides automated remediation — including structural tagging, reading order optimization, alt-text generation, and metadata correction — to help improve document accessibility.

The Service operates on a credit-based model. Each document scan and remediation consumes one (1) credit from your account balance.

3 Compliance Disclaimer

While ACE significantly improves document accessibility through automated scanning and AI-powered remediation, results may vary based on document complexity, source formatting, content type, and other factors. Some accessibility issues may require manual review and correction by a qualified accessibility specialist.

We strongly recommend that users conduct manual accessibility reviews of remediated documents, especially for documents subject to legal compliance requirements. ACE is intended to supplement — not replace — professional accessibility auditing services.

Think! Design & Planning, LLC makes no representations or warranties regarding the legal sufficiency of any remediated document for compliance with any specific law, regulation, or standard.

4 Account Registration & Security

To access the Service, you must create an account using a valid email address or Google Sign-In through Firebase Authentication. You agree to:

1. Provide accurate and complete registration information.
2. Maintain the confidentiality of your account credentials.
3. Accept responsibility for all activity that occurs under your account.
4. Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5 Credits, Payments & Refunds

ACE operates on a prepaid credit system. Credits are purchased through our secure payment processor, Stripe.

• Credit Purchase — Credits are available in predefined packages. Pricing is displayed at the time of purchase and may be updated at our discretion.
• Credit Consumption — Each document processed (scan + remediation) consumes one (1) credit. Credits are deducted at the time of processing.
• No Refunds on Used Credits — Credits that have been consumed for document processing are non-refundable.
• Unused Credits — Refund requests for unused credits may be considered on a case-by-case basis at the Company's sole discretion.
• Credit Expiration — Credits do not expire as long as your account remains active and in good standing.

6 Acceptable Use Policy

You agree to use ACE only for lawful purposes and in compliance with these Terms. You shall NOT:

1. Upload files containing malware, viruses, or any malicious code.
2. Upload files containing illegal, obscene, defamatory, or infringing content.
3. Attempt to reverse-engineer, decompile, or extract source code from the Service.
4. Use automated scripts, bots, or scrapers to access the Service.
5. Attempt to gain unauthorized access to other users' accounts or data.
6. Interfere with or disrupt the Service's infrastructure or performance.
7. Resell, sublicense, or redistribute the Service without prior written consent.
8. Use the Service to generate misleading compliance certifications or misrepresent document accessibility status.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

7 Intellectual Property

The Service, including its design, code, branding, logos, AI models, algorithms, and documentation, is the exclusive property of Think! Design & Planning, LLC and is protected by copyright, trademark, and other intellectual property laws.

Your Content — You retain all ownership rights to the documents you upload. By uploading content to ACE, you grant us a limited, temporary license to process that content solely for the purpose of providing the Service. This license terminates immediately upon completion of document processing.

8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THINK! DESIGN & PLANNING, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

1. Any indirect, incidental, special, consequential, or punitive damages.
2. Any loss of profits, revenue, data, or business opportunities.
3. Any damages arising from your reliance on the Service's compliance assessments.
4. Any damages resulting from interruption, suspension, or termination of the Service.
5. Any liability arising from third-party claims related to the accessibility compliance of documents processed through the Service.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9 Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that the results obtained from using the Service will meet your requirements or achieve any specific level of accessibility compliance.

10 Indemnification

You agree to indemnify, defend, and hold harmless Think! Design & Planning, LLC and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

1. Your use of the Service.
2. Your violation of these Terms.
3. Your violation of any third-party rights.
4. Any content you upload to or process through the Service.

11 Service Modifications & Termination

We reserve the right to:

• Modify, update, or discontinue the Service (or any part thereof) at any time with or without notice.
• Change pricing, credit packages, or billing terms with reasonable advance notice.
• Suspend or terminate your account for violation of these Terms.

Upon account termination, your right to access the Service ceases immediately. Any unused credits may be forfeited upon termination for cause.

12 Governing Law & Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Guilford County, North Carolina. You consent to the personal jurisdiction of such courts and waive any objection to venue therein.

13 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Think! Design & Planning, LLC regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, and proposals.

15 Changes to These Terms

We may revise these Terms at any time by updating this page. When we do, we will revise the "Last Updated" date. Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
